CUSTOM PRINT DESIGN — SERVICE AGREEMENT

1. OVERVIEW
This Agreement is between Britt LaSpina trading as Britt LaSpina Design ("Designer") and the Client. By making payment, the Client agrees to these terms.
2. SCOPE OF SERVICES
The Designer will create one (1) custom print and textile design. Deliverables include a high-resolution artwork file and seamless repeat file, delivered via Dropbox.
3. REVISIONS
One (1) round of revisions is included, covering up to four (4) motif changes submitted together in writing. Additional revisions will be billed at the Designer's hourly rate of $165p/hr AUD.

5. INTELLECTUAL PROPERTY & LICENSING
The Designer retains full copyright of all artwork.
Upon full payment, the Client receives an exclusive, non-transferable commercial licence to use the final design on their own products.
The Client may not resell, sublicense, alter, or use the artwork for print-on-demand, stock, or any brand other than their own.
All concepts, working files, and rejected designs remain the Designer's property.
6. PORTFOLIO & CREDIT
The Designer (Britt LaSpina) may use the final artwork, print and any product or campaign imagery featuring the design for portfolio, website, and social media, without needing prior approval.
The Client warrants they hold all necessary permissions from photographers and third parties for this use.
Where the Client shares content directly from this collaboration — including behind-the-scenes process content, imagery or video provided by the Designer, the Client must credit and tag @brittlaspinadesign. For any other content referencing the design or process, the Designer appreciates being tagged.
7. CLIENT RESPONSIBILITIES
The Client agrees to provide a clear brief, attempt to respond to feedback requests within 5 business days, and ensure any materials they supply are theirs to share.
If the Client is unresponsive for 14 consecutive days, the project may be placed on hold and a re-engagement fee may apply.
8. TIMELINE
Timelines are estimates and depend on client communication. The Designer is not liable for delays outside their control.
9. CANCELLATION & REFUNDS
10. CONFIDENTIALITY
Both parties agree to keep project information confidential and not share it with third parties without consent.
11. LIABILITY
The Designer's liability is limited to the total fees paid for the project. The Designer is not liable for any indirect or consequential loss.
12. DISPUTES
Both parties agree to attempt resolution through direct negotiation, then mediation, before taking formal legal action.
13. GOVERNING LAW
This Agreement is governed by the laws of Queensland, Australia.
14. ACCEPTANCE
By completing payment, the Client confirms they have read and agreed to this Agreement in full.

4. FEES & PAYMENT
- All fees are in AUD
- 50% non-refundable deposit is required before work begins
- Remaining 50% is due before final files are released
- No files will be released until payment is received in full
- No rights are granted until full payment is received
- The Client is responsible for any foreign transaction fees or taxes in their country
